Terms & Conditions
1. Scope and applicability
These Terms & Conditions apply to all services delivered by Boost-Training, including training, coaching, facilitation and consulting (the “services”).
They apply to all proposals, agreements and collaborations, unless explicitly agreed otherwise in writing.
2. Formation of agreement
An agreement is in place when:
- the client accepts a proposal issued by Boost-Training; or
- the client confirms a request for services and Boost-Training provides written confirmation.
3. Services
Boost-Training delivers services as agreed with the client, in line with the defined objectives and scope.
ll services are delivered on a best-efforts basis. Results depend on factors such as participant engagement and organisational context.
4. Fees and payment
All fees are exclusive of VAT and any applicable taxes.
Invoices are issued at the start of the first service activity, unless agreed otherwise.
Payment terms are 30 days from the invoice date.
The client is responsible for providing any required purchase order references in a timely manner.
If payment is not received on time, Boost-Training may suspend the services until payment is completed.
5. Cancellation and postponement
Any cancellation or postponement must be confirmed in writing.
The following fees apply:
- more than 8 weeks before the start: no fee
- between 8 and 4 weeks: 50% of the agreed fees
- less than 4 weeks: 100% of the agreed fees
Postponements follow the same conditions as cancellations.
Changes to agreed dates are only possible upon mutual agreement and subject to availability.
6. Delivery and practical arrangements
The client ensures that all practical conditions required for delivery are in place. This includes training venue, participant communication and attendance, and technical setup. A training room requirement sheet is available upon request.
Boost-Training may replace a trainer or consultant with an equally qualified professional if needed.
7. Travel and expenses
Travel and accommodation expenses are charged as follows, unless agreed otherwise.
- Car: mileage is charged at 0.50 EUR/km, calculated from the trainer’s home location to the delivery location and back.
- Train: travel is booked in first class.
- Air travel :
- Flights up to 6 hours (one way): economy plus class, including seat selection and ticket flexibility.
- Flights above 6 hours (one way): business class.
Taxis, local transport and accommodation are charged at cost.
Accommodation is arranged in a hotel of professional standard, reasonably close to the training venue, ensuring efficient delivery and minimal travel time.
Meals and local expenses are charged at cost where applicable, based on reasonable and necessary travel and delivery requirements.
Travel arrangements are made with reasonable care, balancing cost, efficiency and availability.
Travel time is included for journeys up to 4 hours (return). For total travel time exceeding 4 hours
(return), 50% of the daily fee is charged per travel day.
8. Intellectual property
All materials, methodologies and content provided by Boost-Training remain the exclusive property of Boost-Training.
The client may use these materials internally for the agreed purpose only, with clear attribution to Boost-Training. The client may not use these materials for the benefit of third parties or for delivering similar services outside the agreed collaboration.
The client may not reproduce, modify, distribute or use these materials, in whole or in part, without prior written consent. Recording of sessions (audio, video or otherwise) is not allowed without prior agreement.
Extended usage rights or buy-out options can be agreed separately.
9. Confidentiality
Boost-Training treats all client information as confidential and uses it only for the purpose of delivering the agreed services.
10. Liability
Boost-Training delivers its services with care and professionalism. Liability is limited to direct damages resulting from a proven fault in the execution of the services. In all cases, liability is capped at the total fees of the project. Boost-Training is not liable for indirect damages.
11. Non-solicitation
The client may not directly or indirectly engage, contract or solicit any trainer, consultant or partner introduced by Boost-Training for similar services outside the scope of the collaboration. This applies during the collaboration and for 12 months after.
Any exception must be agreed in writing in advance and may be subject to a separate agreement.
12. Force majeure
Boost-Training is not liable for delays or inability to deliver services due to circumstances beyond its reasonable control.
This includes, for example, illness, transport disruptions, strikes or governmental measures.
In such cases, the parties will align on a practical solution, such as rescheduling.
13. Complaints
Any concerns should be shared in writing within a reasonable timeframe. Boost-Training will review and address these concerns in a constructive and timely way.
14. Governing law and jurisdiction
These Terms & Conditions are governed by Belgian law.
Any dispute falls under the exclusive jurisdiction of the courts of Leuven.
15. Miscellaneous
Any changes to these Terms & Conditions must be agreed in writing.
If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
In case of conflict, the terms of the specific proposal or agreement prevail over these Terms & Conditions.
